Implementation of any recommendations and all business decisions remain the sole responsibility of the client.

No Guarantees

We do not guarantee specific business outcomes, results, or performance improvements. Business success depends on many factors beyond advisory support, including market conditions, execution quality, competitive dynamics, and circumstances beyond anyone's control. Past performance and case examples do not guarantee future results.

Engagement Terms

Specific terms for advisory engagements, including scope, deliverables, timeline, and fees, are defined in individual engagement agreements. These Terms of Service apply to all engagements unless specifically modified in writing.

Payment Terms

Payment terms are specified in individual engagement agreements. Generally:

• Project-based engagements require 50% payment upon agreement and 50% upon completion
• Ongoing advisory engagements are billed monthly in advance
• Custom engagements have payment terms defined in the engagement agreement

Late payments may result in suspension of services and may incur additional fees as specified in engagement agreements.

Confidentiality

We maintain confidentiality of client information and business details shared during advisory engagements. Specific confidentiality terms are outlined in engagement agreements. Clients are similarly expected to maintain confidentiality of our proprietary methodologies, frameworks, and recommendations.

Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of Nexton Enterprises and protected by intellectual property laws. Frameworks, methodologies, and materials developed by us remain our intellectual property, though clients receive license to use deliverables as specified in engagement agreements.

Limitation of Liability

To the fullest extent permitted by law, Nexton Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use of or inability to use our services
• Any conduct or content of any third party
• Unauthorized access, use, or alteration of your information
• Business decisions made based on our advisory services

Our total liability for any claims arising from our services shall not exceed the fees paid by the client for the specific engagement giving rise to the claim.

Professional Responsibility

While we strive to provide high-quality advisory services, clients are responsible for:

• Making their own business decisions
• Verifying information and conducting due diligence
• Consulting appropriate licensed professionals for legal, accounting, and regulatory matters
• Implementation and execution of any recommendations

Termination

Either party may terminate an advisory engagement as specified in the engagement agreement. Generally, termination requires written notice. Fees for work completed prior to termination remain due and payable.

Dispute Resolution

Any disputes arising from our services shall first be addressed through good-faith negotiation. If resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings held in Wyoming, United States.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of modified terms.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific engagement agreements, constitute the entire agreement between you and Nexton Enterprises regarding our services.
